学修目標	法律英語を身につけることを目標とします。
授業計画	毎回のアメリカ会社法のテーマは次の通りです。１. Inspection of Books and Records ２. Common Law and Statutory Rights ３. What may be examined ? ４. What a proper purpose ? ５. Who is entitled to inspect ? ６. Inspection of Shareholder's List ７. Financial Reports for Shareholders ８. Cash out Mergers ９. Cash out Mergers 10. Upstream and Downstream Mergers 11. Fiduciary Duties in Mergers 12. Sales of All the Assets of a Corporation 13. The Right of Dissent and Appraisal 14. Voluntary Dissolution 15. Changes Made by the 1999 MBCA Amendments

評価方法	参加態度（80％）と小テスト（20％）
テキスト	特に指定しません。必要に応じてプリントを配布します。
